Submitting an enquiry through the Site or contacting us by email does not create a partnership, joint venture, agency or any other legal relationship between you and Honokowai. Any actual partnership requires a separate written agreement signed by both parties. We reserve the right, in our sole discretion, to accept or decline any potential partnership for any reason.
When you submit information through the Site (for example, via our partner enquiry form), you represent that the information is accurate, that you have the right to share it, and that it does not infringe the rights of any third party or violate any law. To the extent liability cannot be excluded, our total aggregate liability under or in connection with these Terms is limited to €100 (one hundred euro). Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
You agree to indemnify, defend and hold harmless Honokowai and its directors, officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: your use of the Site; your breach of these Terms; your violation of any law; or your infringement of any third-party right.
The Site may contain links to third-party websites, services or resources that are not owned or controlled by Honokowai. We are not responsible for the content, policies or practices of any third party. Any interactions you have with third parties are solely between you and them.
We may, at any time and in our sole discretion, with or without notice, suspend or terminate your access to the Site, or restrict any feature, for any reason — including suspected violation of these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification and governing law — will survive.
These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles. The courts of Cyprus have exclusive jurisdiction to hear any dispute arising out of or in connection with these Terms, subject to any mandatory rights you may have to bring proceedings in another forum under applicable law.
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent.
